End-User Licence Agreement

This End-User Licence Agreement governs use of the TCA Peppol UAE extension for Microsoft Dynamics 365 Business Central.

The agreement is between the customer accepting these terms and [[LAB0 LEGAL ENTITY]], referred to as “Lab0”.

By installing, accessing or using the extension, the customer agrees to these terms.

1. The extension

The extension connects supported Business Central processes with the TCA e-invoicing service.

The extension can prepare UAE PINT AE XML, validate supported document information, submit documents, retrieve status, receive documents and create accounting drafts.

The extension does not itself operate the TCA Accredited Service Provider platform, Peppol network, Microsoft Dynamics 365 Business Central or Microsoft Marketplace.

2. Licence

Subject to these terms and any applicable order, Lab0 grants the customer a limited, non-exclusive, non-transferable and revocable licence to install and use the extension for the customer’s internal business operations.

The licence applies only to the tenants, environments, companies and users permitted by the applicable Marketplace offer, order or written agreement.

3. TCA service requirement

Use of network functionality requires an active TCA organization and valid TCA API credentials.

The customer may need a separate commercial and service agreement with TCA/Suntech.

Lab0 is not responsible for TCA account approval, TCA service availability, TCA pricing, Peppol availability or authority-system availability except where a written agreement expressly states otherwise.

4. Customer responsibilities

The customer is responsible for:

• Determining whether a transaction is legally in scope.
• Maintaining accurate Business Central master data.
• Maintaining correct tax and posting configuration.
• Reviewing generated documents.
• Reviewing rejected and failed submissions.
• Protecting TCA credentials.
• Assigning appropriate Business Central permissions.
• Maintaining Job Queue entries.
• Complying with applicable tax, accounting, privacy and record-retention requirements.
• Obtaining any necessary customer, vendor or employee notices and consents.

5. No tax or legal advice

The extension is a technical integration tool. It does not provide tax, accounting or legal advice.

Validation by the extension does not guarantee acceptance by TCA, Peppol, the UAE Federal Tax Authority or another authority.

The customer remains responsible for the legality, correctness, completeness and timing of every document.

6. Inbound documents

Inbound documents are staged for review.

The extension may create draft Business Central documents after internal approval. It does not automatically post those accounting documents.

An accept or reject decision recorded in Business Central is currently an internal workflow decision and does not notify the sender unless a future supported response mechanism is expressly documented.

7. Restrictions

The customer must not:

• Use the extension unlawfully.
• Circumvent security or licence controls.
• Attempt unauthorized access to TCA, Microsoft or another customer’s systems.
• Publish, resell or sublicense the extension except as expressly permitted.
• Remove proprietary notices.
• Reverse engineer the extension except where applicable law expressly permits it.

8. Intellectual property

Lab0 and its licensors retain all rights in the extension, documentation and Lab0 materials.

TCA/Suntech retains rights in its service, API and related materials.

Microsoft retains rights in Microsoft Dynamics 365 Business Central, Azure and Microsoft Marketplace.

The customer retains ownership of its business and invoice information.

9. Updates

Lab0 may provide updates for compatibility, security, reliability, standards changes or new functionality.

An update may change behavior when required by Business Central, TCA, Peppol PINT AE or UAE regulatory specifications.

Lab0 will identify material changes in release notes where reasonably possible.

10. Fees

Fees, if any, are governed by the applicable Marketplace offer, order form or separate agreement.

TCA service fees are separate unless expressly stated otherwise.

11. Availability

Lab0 will use commercially reasonable efforts to maintain the extension. Continuous or error-free operation is not guaranteed.

Operation may depend on:

• Microsoft Business Central availability.
• Microsoft platform changes.
• TCA service availability.
• Network availability.
• Customer configuration.
• Changes to e-invoicing specifications or legal requirements.

12. Warranties

To the maximum extent permitted by law, the extension is provided “as is” and “as available”, except for warranties that cannot legally be excluded or warranties expressly stated in a signed agreement.

13. Limitation of liability

To the maximum extent permitted by law, Lab0 is not liable for indirect, incidental, special, consequential or punitive loss, including loss arising from incorrect source data, missed filing obligations, authority rejection, unavailable third-party services or unauthorized credential use.

Any agreed liability cap should be inserted here:

Lab0’s aggregate liability under this agreement will not exceed [[AGREED LIABILITY CAP]], except where applicable law prohibits that limitation.

14. Suspension and termination

Lab0 may suspend or terminate access where:

• Fees remain unpaid.
• The extension is used unlawfully.
• Use creates a security risk.
• The customer materially breaches these terms.

On termination, the customer must stop using the extension. Treatment of stored Business Central data is governed by Business Central and applicable data-retention requirements.

15. Governing law

These terms are governed by the laws of [[GOVERNING JURISDICTION]].

The courts of [[COURT JURISDICTION]] will have jurisdiction unless applicable law or a written agreement requires otherwise.
